This dual-track framework accelerates real-world asset integration on compliant rails while squeezing decentralized venues.

The SEC five-year exemptive program for tokenized equities draws a clear line between permissioned crypto infrastructure and decentralized finance. CeFi platforms holding broker-dealer or alternative trading system licenses gain a direct path to tokenize corporate equities with regulatory clarity.

For centralized venues like Coinbase, Robinhood, and Kraken, compliance becomes an offensive moat. They can leverage existing customer bases and clearing setups to trade tokenized traditional assets, drawing serious capital away from legacy brokerages.

DeFi protocols like Uniswap face an uphill operational wall under the new framework. Without central order matching or customer verification controls, permissionless liquidity pools cannot easily facilitate regulated security tokens without triggering compliance violations.
